Generated by a computer system, it does not necessitate physical or digital signatures. Publication of this document aligns with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, mandating the disclosure of terms for accessing or utilizing CityLocal services via the CityLocal Portal. Additionally, this document fulfills the requirements outlined in Section 65B(2) of the Indian Evidence Act, 1872.
By accessing or using any of the Platforms provided by CityLocal, is an Stratup with its registered office at Delhi India ("CityLocal" "we," or "our"), you ("you" or "your") agree to be bound by the terms of this agreement. This agreement governs your use of the search services offered by CityLocal through its website www.citylocal.in ("Website"), telephone search, SMS, WAP, or any other medium through which CityLocal may provide the search services (collectively "Platforms"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you and CityLocal.
Changes : We reserve the right to make changes to the Terms and the Site at any time without prior notice, and it is your responsibility to review these Terms regularly for any updates. Any modifications to the Terms will take effect immediately upon being posted on the Site, and your continued use of the site following such changes indicates your acceptance of the revised.
USAGE OF OUR MATERIALS: We utilize a wide array of information, text, photographs, designs, graphics, images, sound and video recordings, animations, content, advertisements, and other materials and effects (collectively referred to as "Materials") for the provision of search services on the Platforms. These Materials are made available through the Platforms STRICTLY FOR YOUR PERSONAL AND NON-COMMERCIAL USE ONLY.
Although every effort has been made to ensure the authenticity of the content on the Platforms, CityLocal shall not be held liable for any damages, losses, or actions arising directly or indirectly from accessing and/or using the content on the Platforms. This includes, but is not limited to, decisions made based on the content on the Platforms that result in any loss of data, revenue, profits, property, or infection by viruses, etc.
As such, you are permitted to view, use, copy, and distribute the Materials found on the Platforms for internal, non-commercial, informational purposes only. However, you are strictly prohibited from engaging in activities such as data mining, scraping, crawling, or using any processes that send automated queries to CityLocal. Additionally, you may not utilize the Platforms or any of its content to compile a collection of listings, including those that compete with our products or services. Furthermore, the use of the Platforms or any Materials for unsolicited commercial emails is expressly forbidden.
Except as explicitly authorized in this paragraph, you are not granted a license under any copyright, trademark, patent, or other intellectual property rights in the Materials or the products, services, processes, or technology described therein. All such rights are retained by CityLocal, its subsidiaries, parent companies, and/or any third-party owners of such rights.
USAGE OF OUR TRADEMARKS: The names, logos, and all related products and service names, design marks, and slogans associated with CityLocal are trademarks and service marks owned by CityLocal or its wholly-owned subsidiaries, used under license. Any other trademarks and service marks mentioned herein are the property of their respective owners. Any copies made of the Materials on any of the Platforms must include any copyright, trademark, or other proprietary notices located on the respective Platforms pertaining to the material being copied. Unauthorized use of any CityLocal name or mark in advertising, publicity, or any other commercial manner is strictly prohibited without prior written consent from CityLocal. UTILIZATION OF INFORMATION YOU PROVIDE TO US: Please refrain from sending us any confidential or proprietary information. Unless explicitly agreed upon as confidential per our Privacy Policy, any material, including but not limited to feedback, data, answers, questions, comments, suggestions, or ideas, sent to us will be considered non-confidential and nonproprietary. We assume no obligation to protect confidential or proprietary information (other than personally identifiable information) from disclosure and are free to reproduce, use, and distribute such information to others without restrictions. Furthermore, we reserve the right to utilize any ideas, concepts, know-how, or techniques contained in the information you send us for any purpose, including but not limited to developing, manufacturing, and marketing products and services incorporating such information.

As CityLocal offers information directory services through various mediums (SMS, WAP, E-Mail, Website, APP, and voice or phone), your ("Users") use of any of the aforementioned mediums to post Reviews, Ratings, and Comments about CityLocal services and the Advertisers listed on CityLocal is subject to additional terms and conditions as outlined herein.
You bear sole responsibility for the content of any transmissions you make to the Site or any mediums offered by CityLocal, including any materials you contribute to the Site or add to any mediums offered by CityLocal, such as Reviews, Ratings, & Comments ("Communications"). CityLocal does not endorse or adopt any of your Communications as representative of its views. By transmitting any public Communication to the Site, you grant CityLocal an irrevocable, non-exclusive, worldwide, perpetual, unrestricted, royalty-free license (with the right to sublicense) to use, reproduce, distribute, publicly display, publicly perform, adapt, modify, edit, create derivative works from, incorporate into one or more compilations, reproduce, and distribute such compilations, and otherwise exploit such Communications in all Platforms now known or later developed.
You confirm and warrant that you have the right to grant these rights to CityLocal. You hereby waive and grant to CityLocal all rights, including intellectual property rights and "moral rights," in your Communications posted on CityLocal through any of its mediums. CityLocal is free to use all your Communications as per its requirements from time to time. You represent and warrant that you own or otherwise control all of the rights to the content that you post as Reviews, Ratings, or Comments; that the content is accurate; that use of the content you supply does not violate these Terms and will not cause injury to any person or entity. For the avoidance of doubt, the reference to Communications includes the reviews, ratings, and comments posted by your friends tagged by you. Additionally, CityLocal reserves the right to mask or unmask your identity regarding your Reviews, Ratings, & Comments posted by you.
CityLocal has the right, but not the obligation, to monitor and edit or remove any content posted by you as Reviews, Ratings, or Comments. CityLocal cannot review all Communications made on and through any of its mediums. However, CityLocal reserves the right, but has no obligation, to monitor and edit, modify, or delete any Communications (or portions thereof) which CityLocal, in its sole discretion, deems inappropriate, offensive, or contrary to any CityLocal policy, or that violate these terms:

CityLocal assumes no responsibility and disclaims all liability for any content posted by you or any third party on CityLocal's site or any of its mediums.
You further acknowledge that prohibited conduct in connection with your use of the Forums includes, but is not limited to, breaching or attempting to breach the security of the Site or any of CityLocal's mediums.

CityLocal prioritizes safeguarding the privacy and confidentiality of any personal information it may solicit and receive from its clients, business partners, and other users of the Website. Although every effort has been made to verify the authenticity of the content on the Platforms, CityLocal lacks control over the accuracy, integrity, or quality of such content. The information on our pages, as well as the material on the Platforms, may contain technical inaccuracies or typographical errors. We do not provide guarantees, nor can we be held responsible for such information, including its authenticity, currency, content, quality, copyright compliance, legality, or any other intellectual property rights compliance, or any resulting loss or damage. All rights, title, and interest, including trademarks and copyrights, pertaining to the domain name and Platforms content hosted on the Platforms, are reserved with CityLocal. Users are permitted to read, print, or download text, data, and/or graphics from the Website or any other Platforms for personal use only. Unauthorized access, reproduction, redistribution, transmission, and/or dealing with any information contained in the Platforms in any other manner, either in whole or in part, are strictly prohibited, and strict legal action will be initiated against such users.
Links to external Internet sites may be provided within the content on the Website or other Platforms for user convenience. However, the inclusion of an external site does not imply endorsement by CityLocal or its affiliates. CityLocal makes no representations regarding the availability and performance of its Platforms or any external websites linked to us. CityLocal and its affiliates assume no responsibility for the content, functionality, authenticity, or technological safety of these external sites. We reserve the right to disable links to or from third-party sites to any of our Platforms, although we are not obligated to do so. This right includes disabling links to or from advertisers, sponsors, and content partners that may use our Marks as part of a co-branding relationship.

CityLocal assumes no responsibility for the accuracy or correctness of such information. We reserve the absolute right to accept or reject information from readers and/or advertisements from advertisers, and to impose or relax Platforms access rules and regulations for any user(s).
CityLocal also reserves the right to impose or change access regulations of the Platforms, including access fees, timings, equipment, access restrictions, or otherwise, which shall be posted from time to time under these terms and conditions. Please be aware that any provider of goods or services is entitled to register with CityLocal. CityLocal does not conduct assessments on whether advertisers are reputable or high-quality sellers of goods/service providers. Prior to availing of the terms of service, it is your responsibility to satisfy yourself about all relevant aspects. Additionally, CityLocal has not negotiated or discussed any terms of engagement with any of the advertisers, and you should undertake such discussions independently. Purchasing goods or availing services from advertisers is done at your own risk.
We do not investigate, represent, or endorse the accuracy, legality, legitimacy, validity, or reliability of any products, services, deals, coupons, or other promotions or materials, including advice, ratings, and recommendations contained on, distributed through, or linked, downloaded, or accessed from the Platforms.

All Users are cautioned that any information, of any nature, provided or received from Advertisers is accepted in good faith, without suspicion of the Advertisers' intentions. CityLocal neither confirms, acknowledges, nor endorses the claims and representations made by Advertisers listed with CityLocal. Furthermore, CityLocal bears no responsibility for any actions of Advertisers listed on the platform.
LIMITATION OF LIABILITY:
In no event shall CityLocal be liable to any user for any damages whatsoever, including direct, special, punitive, indirect, consequential, or incidental damages, or damages for loss of profits, revenue, use, or data, whether brought in warranty, contract, intellectual property infringement, tort (including negligence), or any other theory, even if CityLocal is aware of or has been advised of the possibility of such damage, arising out of or connected with the use (or inability to use) or performance of the platforms, the materials, or the internet generally, or the use (or inability to use), reliance upon, or performance of any material contained in or accessed from any platforms. CityLocal does not assume any legal liability or responsibility for the accuracy, completeness, or usefulness of any information, apparatus, product, or process disclosed on the platforms or other material accessible from the platforms.
The user of the platforms assumes all responsibility and risk for the use of this platforms and the internet generally. The foregoing limitations shall apply notwithstanding any failure of the essential purpose of any limited remedy and to the fullest extent permitted under applicable law. Some countries do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above exclusions may not apply to all users; in such countries, liability is limited to the fullest extent permitted by law.

Your use of these linked sites is subject to different terms of use than these Terms, and may be subject to different privacy practices than those set forth in the Privacy Policy governing the use of the Platforms. We do not assume any responsibility for review or enforcement of any local licensing requirements that may be applicable to businesses listed on the Platforms.
INDEMNIFICATION:
You agree to indemnify and hold us, as well as our parent company, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, brought forth by any third party due to or arising from your breach of these Terms, your violation of any law, or your infringement upon the rights of a third party, including any intellectual property infringement or violation of any other rights of any person or entity. These obligations shall remain valid and enforceable even after the termination of these Terms.
MISCELLANEOUS:
These Terms shall be governed by and construed in accordance with Indian laws, without giving effect to its conflict of laws provisions or your actual state or country of residence. You agree to submit to the personal jurisdiction of courts located in India. You also agree to exclude, in its entirety, the application of the United Nations Convention on Contracts for the International Sale of Goods to these Terms. It is your responsibility to comply with applicable laws. If any provision or portion of these Terms is found to be unenforceable by a court of competent jurisdiction, the remainder of the Terms will continue in full force and effect. These Terms constitute the entire agreement between you and us, superseding all prior or contemporaneous understandings or agreements, whether written or oral, regarding the subject matter herein. Any waiver of any provision of these Terms will be effective only if in writing and signed by both parties.
CityLocal reserves the right to investigate complaints or reported violations of these Terms and take any necessary and appropriate action. This may include reporting suspected unlawful activity to law enforcement officials, regulators, or other third parties. Additionally, we may disclose any information necessary or appropriate to such persons or entities relating to user profiles, email addresses, usage history, posted materials, IP addresses, and traffic information. CityLocal retains the right to seek all remedies available at law and in equity for violations of these Terms.
Notices under these Terms must be in writing and will be considered duly given if sent by certified mail, overnight courier, or electronic mail, with confirmation of receipt, to the addresses specified in the Order or provided by the recipient. All telephone conversations regarding your advertising with CityLocal may be recorded, and you consent to such monitoring and recording.
Force Majeure: Neither party shall be liable for any failure or delay in performance under these Terms resulting from events beyond its reasonable control, including but not limited to governmental actions, natural disasters, power failures, strikes, terrorist acts, or transportation interruptions.
Indemnification: You agree to indemnify and hold us and our Distribution Sites harmless from any claims, liabilities, losses, expenses, damages, and costs arising out of or related to these Terms or any Advertising Products or services you request.
Arbitration: Any disputes arising in connection with these Terms shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English in Mumbai, India, unless otherwise agreed upon by the parties.
Entire Agreement: These Terms constitute the entire agreement between you and us regarding the subject matter herein and supersede all prior written or oral communications. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law. These Terms may only be modified by a written agreement signed by both parties or by notice from CityLocal, effective with respect to any Advertising Products ordered after such notice.
